Tax Planning & Retirement Tax Planning

Two kinds of planning, one CPA relationship: tax planning year to year for business owners and people with complex tax situations, and retirement tax planning for individuals approaching retirement, including Roth conversions. We do not sell investment products or manage portfolios.

Providence Consulting CPA, PLLC provides two planning services in Charlotte, NC and remotely nationwide: tax planning for business owners and people with complex tax situations (entity structure, S-corp reasonable salary, quarterly estimates, year-end planning, multi-entity coordination), and retirement tax planning for individuals approaching retirement, whether or not they own a business (Roth conversions, required minimum distributions, bracket management, withdrawal order and how Social Security timing affects taxes). We give unbiased CPA advice and do not sell investment products or manage portfolios.

Tax Planning for Business Owners and Complex Tax Situations

Year-round tax planning helps business owners and individuals with complex tax situations make decisions before year-end instead of reacting at filing time. For business owners we review entity structure, owner pay, estimated payments and the timing of income and deductions, working from current books; for individuals with more involved returns we look ahead at the items that drive the tax bill.

  • Entity structure and S-corp elections: whether an LLC S-corp election makes sense as profits grow, and when.
  • S-corp reasonable salary: setting owner compensation vs distributions in a way that is defensible and coordinated with payroll.
  • Quarterly estimated taxes: projecting federal and state estimates from your books so payments track actual results.
  • Year-end planning: reviewing results before December 31 while there is still time to act.
  • Deductions and timing: when to recognize income, make purchases or accelerate or defer deductions, based on your situation.
  • Complex individual situations: projecting the tax effect of items such as rental properties, equity compensation, multi-state income or self-employment income before year-end.
  • Multi-entity owners: coordinating returns, owner pay and allocations across several S-corps, partnerships or C-corps.

Every plan is built around your facts and the tax law in effect; results depend on your situation, and we explain the tradeoffs rather than promise a specific outcome. Planning connects directly to your business tax returns and monthly accounting.

Retirement Tax Planning for Individuals Approaching Retirement, Including Roth Conversions

Retirement tax planning is for individuals approaching retirement who want to manage the taxes they pay over many years, not just one; you do not need to own a business. We help evaluate Roth conversions, multi-year bracket management, required minimum distributions (RMDs), the order of withdrawals from your accounts, and how the timing of Social Security benefits interacts with your taxable income. Business owners can also compare retirement plan options such as a Solo 401(k), SEP-IRA or cash balance plan.

  • Roth conversions and multi-year bracket management: modeling how much to convert, if any, in a given year based on your current and projected tax brackets.
  • Conversion timing: looking for lower-income years, such as after a business sale, a slower year or early retirement, when a conversion may cost less in tax.
  • Social Security timing and taxes: how the year you start benefits interacts with other income, Roth conversions and how much of your benefit may be taxable. The claiming decision is yours; we show the tax side.
  • Retirement plan choices (business owners): comparing the tax treatment of a Solo 401(k), SEP-IRA, cash balance plan and traditional vs Roth contributions for owners, coordinated with your plan administrator or advisor.
  • Required minimum distributions: planning ahead for RMDs and how they interact with other income in retirement.
  • Withdrawal sequencing: the order of drawing from taxable, tax-deferred and tax-free accounts.

Roth conversions are taxable in the year of conversion, and whether one makes sense depends on your brackets, cash to pay the tax, time horizon and other factors. We model the options with you; we do not sell investment products or manage portfolios.

Business Exit Planning

Planning to sell your business, pass it to family, or step back in the next few years? The tax outcome of an exit is shaped well before the deal closes. We help you plan early to maximize after-tax proceeds so more of the value you built stays with you and your family.

  • Asset sale vs. stock sale, and how deal structure changes what you keep
  • Allocating the purchase price across goodwill, equipment, and other assets
  • Installment sales, earnouts, and timing when gain is recognized
  • Entity structure and clean-up in the years leading up to a sale
  • Coordinating sale proceeds with retirement accounts and long-term tax planning
  • Succession options, including transfers to family or key employees

Clean books make the process smoother. Buyers look closely at your financials, and we help get them ready well before due diligence starts.

What we typically cover

Retirement account tax treatment

How contributions, earnings, and distributions are taxed across common owner-focused plan types — and how timing choices change the picture year to year.

Owner compensation vs distributions

Reasonable compensation, draws, and distributions affect payroll tax, taxable income, and what you can fund into retirement accounts. We walk through the tradeoffs with your books in view.

Entity structuring

S-corp, partnership, and C-corp structures do not all open the same doors. We connect entity reality to plan design and annual tax posture — without treating structure as a one-size product.

Income timing

Bonus years, large contracts, sale-related income, and uneven cash years all change when contributions and recognition make sense. Planning is about the calendar as much as the form.

Should my LLC elect to be an S-Corp?

As profits grow, an S-Corp election can let owners split income between a reasonable salary and distributions that are not subject to self-employment tax. We run the numbers to show whether and when it may make sense.

Exit and succession tax angles

Sale, succession, or wind-down can reshape retirement account strategy and taxable income. We surface tax angles early so they are not a surprise in the deal year.
